Terms of Service — TrueSpec BMX

These Terms of Service ("Terms") constitute a legally binding agreement between you and TrueSpec BMX LLC ("TrueSpec," "we," "us," "our") governing your access to and use of the TrueSpec BMX platform, website, valuation reports, and related services. By accessing or using the Service, you agree to be bound by these Terms.

1.Valuation Disclaimer

ALL VALUATIONS ARE ESTIMATES ONLY. They are not guarantees of sale price, not statements of actual value, and not predictions that any transaction at the estimated value can or will occur.

TrueSpec BMX cannot physically inspect any bicycle. Report accuracy depends entirely on the quality and accuracy of information submitted by the user. TrueSpec BMX is not a licensed appraisal firm. Valuations are produced using statistical analysis of comparable sold transactions and proprietary configuration matching.

RELIANCE ON ANY TRUESPEC VALUATION FOR ANY PURCHASE, SALE, INSURANCE CLAIM, ESTATE PROCEEDING, OR OTHER FINANCIAL DECISION IS ENTIRELY AT YOUR OWN RISK. TrueSpec expressly disclaims liability for any loss arising from reliance on a valuation output.

2.Description of Service

TrueSpec BMX provides:

—BMX Market Index: A free, publicly accessible pricing reference built on completed transaction data.

—Instant Valuation: A per-report valuation service providing a configuration-specific value range with comparable sold transactions. $19.99 per report.

—Certified Valuation Report: A documentation-grade report with full configuration mapping, originality scoring, and comparable transaction evidence formatted as a PDF. $69.99 per report.

—Collector Subscription: A monthly subscription providing portfolio tracking, valuation credits, and market intelligence. $19.99/month.

—Dealer & API Access: High-volume access to the valuation engine for dealers and resellers. $69.99/month.

3.User Accounts

3.1 Account Creation

Certain features require account registration. You agree to provide accurate, current, and complete information and to maintain its accuracy. You are responsible for all activity that occurs under your account.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately at support@truespecbmx.com if you suspect unauthorized access.

3.3 Age Requirement

You must be at least 18 years of age to create an account or purchase any Service.

4.Payments and Refunds

4.1 Payment Processing

All payments are processed by Stripe, Inc. TrueSpec does not store payment card numbers. By making a purchase, you agree to Stripe's Terms of Service.

4.2 Refund Policy

Instant Valuation and Certified Valuation Report purchases are non-refundable once the report has been generated and delivered. Subscription fees are non-refundable for completed billing periods. Subscriptions may be cancelled at any time; access continues through the end of the current billing period.

5.Report License and Use

5.1 Personal Use License

Upon purchase, TrueSpec grants you a personal, non-exclusive, non-transferable license to use the valuation report for your own personal, non-commercial purposes, including sharing with insurers, estate attorneys, or prospective buyers or sellers in connection with a specific transaction.

5.2 Prohibited Uses

You may not resell, sublicense, or distribute reports for commercial gain; use reports as the basis for investment advice services; publish report content publicly without attribution; or use report data to build a competing valuation database.

5.3 Dealer License

Dealer & API Access subscribers may use valuation outputs in the ordinary course of their buying and selling business, subject to the specific terms of that subscription tier.

6.User-Submitted Content

6.1 Spec Contributions

By submitting factory specification data or other community content, you grant TrueSpec a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and display that content in the Service.

6.2 Accuracy Representations

You represent that any information you submit — including bike configuration data, photos, and listing details — is accurate to the best of your knowledge. You agree to indemnify TrueSpec against any claims arising from inaccurate data you submit.

6.3 Photo Processing

Photos you submit for valuation are processed by OpenAI's API for component extraction. You represent that you have the right to submit the photos for this purpose.

7.Intellectual Property

7.1 TrueSpec IP

The TrueSpec BMX platform, valuation methodology, configuration-matching algorithms, factory spec registry, comparable sales database, and all associated software, content, and marks are the exclusive property of TrueSpec BMX LLC. The name TRUESPEC BMX and associated marks are proprietary.

7.2 Factory Specification Data

Factory specification information in the TrueSpec database is compiled from published manufacturer catalogs, magazine tests, and community documentation. TrueSpec's selection, compilation, and structured expression of this data constitutes an original work protected by copyright.

8.Prohibited Conduct

You agree not to:

—Scrape, crawl, or systematically extract data from the Service without written permission.

—Attempt to reverse engineer the valuation algorithm or confidence scoring model.

—Submit false or misleading information to obtain a higher or lower valuation.

—Use the Service to harass, defraud, or harm other users or third parties.

—Circumvent any access controls, rate limits, or authentication mechanisms.

—Use automated tools to access the Service outside of the authorized API tier.

9.Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TRUESPEC EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TRUESPEC'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO TRUESPEC IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

TRUESPEC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION.

11.Indemnification

You agree to indemnify, defend, and hold harmless TrueSpec BMX LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) your submission of inaccurate data; or (d) your violation of any third-party rights.

12.Dispute Resolution

12.1 Informal Resolution

Before initiating formal proceedings, you agree to contact TrueSpec at legal@truespecbmx.com and attempt to resolve the dispute informally for at least 30 days.

12.2 Governing Law

These Terms are governed by the laws of the State of California without regard to conflict of law provisions.

13.Changes to Terms

TrueSpec reserves the right to modify these Terms at any time. We will provide notice of material changes by posting updated Terms with a new effective date and sending email notification to registered users at least 30 days before changes take effect. Your continued use after the effective date constitutes acceptance.
